Important Notice

These terms and conditions are pending legal review and are not final. They represent a general guide to our service conditions. For active projects, specific terms are established in individual contracts.

1. Acceptance of Terms

By accessing and using SignalForge services, you confirm that you have read, understood, and agree to comply with these terms and conditions. If you do not agree with these terms, please do not use our services.

These terms apply to all visitors, users, and clients who access or use our web development, AI chatbot, automation, and hosting services.

2. Services Provided

SignalForge provides web development, AI chatbot implementation, business process automation, and managed hosting services for businesses. Specific services are defined in individual quotes and contracts.

We reserve the right to modify, suspend, or discontinue any service (or any part thereof) at any time, with or without prior notice.

3. Contracts and Payments

3.1 Quotes and Contracts

Each project begins with a customized quote detailing the scope of work, timeline, and costs. Work begins only after contract signing and receipt of initial payment, if applicable.

3.2 Payment Terms

Payments are made according to the terms established in the contract. Typically:

  • Large projects: 50% upfront, 50% upon completion
  • Small projects: full payment at start or completion
  • Recurring services (hosting, maintenance): monthly or annual payment in advance

3.3 Late Payments

Invoices unpaid by the due date may result in suspension of services and/or late payment interest according to applicable law.

4. Client Responsibilities

The client agrees to:

  • Provide complete and accurate information necessary for project completion
  • Provide feedback and approvals within established timelines
  • Grant access to necessary systems (domains, existing hosting, CRM, etc.)
  • Respect third-party intellectual property rights
  • Not use services for illegal or harmful activities

5. Intellectual Property

5.1 Code Ownership

Upon full payment, the client owns the custom code developed specifically for their project. SignalForge retains the right to use frameworks, libraries, and reusable components in other projects.

5.2 Third-Party Licenses

Projects may include open-source or third-party licensed software. The client is responsible for complying with the terms of these licenses.

5.3 Portfolio

SignalForge reserves the right to include completed projects in our portfolio, unless a confidentiality agreement prohibits this.

6. Hosting and Managed Services

6.1 Uptime

We guarantee 99.9% uptime for hosting services. This excludes scheduled maintenance and force majeure events.

6.2 Backups

We perform automated daily backups with 30-day retention. However, we recommend clients maintain their own backups for additional security.

6.3 Hosting Termination

Hosting services may be terminated with 30 days notice. Data will be available for export for 7 days after termination.

7. Confidentiality and Data Protection

SignalForge is committed to protecting client data confidentiality. Confidential information shared during a project will not be disclosed to third parties without client consent.

8. Limitation of Liability

To the extent permitted by law, SignalForge will not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Failures caused by third-party software or services
  • Actions or omissions of the client or their users
  • Force majeure and events beyond our control

SignalForge's total liability is limited to the amount paid by the client for the specific service in question.

9. Warranties

9.1 Warranty Period

We provide a 30-90 day warranty period (per contract) for bug fixes in code developed by us. The warranty does not cover:

  • Modifications made by client or third parties after delivery
  • Issues caused by third-party software updates
  • Requests for new features
  • Issues caused by inadequate hosting (if not provided by us)

9.2 "As Is"

Services are provided "as is" without implied warranties of merchantability or fitness for a particular purpose, except as specified in the contract.

10. Contract Termination

10.1 Termination by Client

The client may terminate the contract at any time. Payments for work completed up to termination remain due. Deposits for unfinished work may be refunded proportionally.

10.2 Termination by SignalForge

We reserve the right to terminate the contract in case of:

  • Non-payment within established deadlines
  • Violation of these terms and conditions
  • Abusive or unprofessional behavior
  • Providing false or misleading information

11. Governing Law

These terms and conditions are governed by the laws of Romania. Any dispute arising from or in connection with these terms will be subject to the exclusive jurisdiction of the competent courts in Romania.

We strive to resolve any disputes amicably before resorting to legal proceedings.

12. Modifications to Terms

SignalForge reserves the right to update or modify these terms at any time. Changes will be posted on this page with the update date.

For ongoing contracts, the specific contract terms prevail over these general terms.
